Acceptance of Terms

Welcome to PaladinTV! These Terms of Service (“Terms”) are a legal agreement between you (“you” or “the user”) and PaladinTV (“PaladinTV,” “we,” or “us”). By subscribing to or using the PaladinTV platform, you agree to comply with these Terms. If you do not agree with these Terms, you must not use PaladinTV. PaladinTV reserves the right to update these Terms at any time as described in the “Changes to Terms” section below.

Description of Service

PaladinTV is a subscription-based platform that facilitates your access to third-party media services. PaladinTV itself does not own, host, store, upload, manage, or control any content that you access through those third-party services. All media or content you may view via PaladinTV’s service is provided by independent third-party providers, not by PaladinTV. PaladinTV’s role is strictly as a facilitator of access – we provide you with credentials or technical means to use third-party services, typically after you purchase a subscription through our platform. PaladinTV does not transmit, broadcast, or modify any third-party content, nor do we guarantee the availability, legality, accuracy, or quality of such content. You acknowledge that any content you access is delivered by third parties on an “as is” and “as available” basis, and PaladinTV has no control over and assumes no responsibility for that content .

By using PaladinTV, you understand and agree that your interactions with any third-party services or content are solely between you and the third-party providers . PaladinTV does not endorse or assume any liability for third-party services or content, which may be subject to their own terms and policies. Use of third-party content is entirely at your own risk . PaladinTV makes no guarantees that any third-party service or content will be legal to access in your jurisdiction, available at all times, uninterrupted, or error-free. The nature, quality, and availability of third-party offerings may change at any time, and features enabling access to them may depend on the continued availability of third-party APIs or services . If any third-party provider discontinues or changes its services, PaladinTV may modify or cease providing access to the affected content without notice, and without any liability or obligation to you (including any duty to provide refunds or credits) . You are responsible for ensuring that your use of the accessed content complies with all applicable laws in your territory.

1. Use of Services (Authorized and Prohibited Uses)

Personal and Lawful Use Only: PaladinTV grants you a limited, non-exclusive, non-transferable license to access and use our service for your own lawful, personal, and non-commercial use . You agree not to share your account or access credentials with others outside your household, and not to resell, redistribute, or make any commercial use of the access provided by PaladinTV. All use of PaladinTV must be in accordance with these Terms and applicable law.

Prohibited Activities: You may not use PaladinTV or any third-party access obtained through PaladinTV in ways that are unlawful or violate these Terms, including (but not limited to):

• Illegal or Infringing Use: Do not use the service to engage in any unlawful activity or to access or distribute content in violation of any copyright, trademark, or other intellectual property rights. You must not attempt to copy, download, record, reproduce, or publicly display any content accessed via PaladinTV, except as permitted by law or the content owner. Any use of PaladinTV to pirate, redistribute, or otherwise misuse content is strictly forbidden.

• Circumvention and Interference: Do not attempt to bypass or circumvent any access controls or content protection mechanisms used by PaladinTV or the third-party services. You may not interfere with or disrupt the PaladinTV platform or the networks providing third-party content. This includes prohibitions on hacking, probing, or impairing PaladinTV’s servers or the third parties’ servers.

• Unauthorized Access: Do not attempt to gain unauthorized access to any part of the PaladinTV service, other users’ accounts, or any systems or networks related to the service. You may not share passwords or access tokens except as allowed, nor use PaladinTV in a manner intended to impersonate or misrepresent your identity.

• Improper Use: Do not use PaladinTV for any purpose that is prohibited by these Terms or by law, or to solicit the performance of any illegal activity or other activity that infringes the rights of PaladinTV or others . You also agree not to use PaladinTV to transmit any malicious code, to harass or harm any person, or in any manner that could damage, disable, or overburden our infrastructure.

PaladinTV reserves the right to monitor (in compliance with our Privacy Policy) usage of its service to enforce these rules. Violations of this “Use of Services” section may result in immediate suspension or termination of your account (see Termination section below) and may expose you to legal consequences. You are solely responsible for your actions on our platform and through any third-party services accessed.

You must be at least 18 years old to access or utilize the Services. By creating an account, purchasing access, or using any platform functionality, you explicitly affirm that PaladinTV provides only authentication services, account provisioning, and encrypted access management.

2. User Accounts and Security

To use PaladinTV, you may need to register an account and provide accurate personal information, including a valid email address and payment details. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. If you suspect any unauthorized use of your account or a security breach, you must notify PaladinTV immediately. PaladinTV is not liable for any loss or damage arising from your failure to secure your account (for example, by using a strong password and protecting your login) .

You agree that the information you provide to PaladinTV is truthful and current. PaladinTV may suspend or terminate your account if we determine that you have provided false information, or if your account is being used in violation of these Terms. PaladinTV may also require you to take steps to verify your identity or ownership of the payment method as a fraud-prevention measure.

3. Subscriptions, Fees, and Payments

Subscription Plans: Access to third-party services via PaladinTV is offered on a subscription basis. By subscribing, you agree to pay the applicable subscription fees. All pricing and payment terms are provided at the point of purchase. Payments are handled through our third-party payment processor, Stripe. You must provide a valid payment method (e.g., credit or debit card) through Stripe’s secure checkout process. PaladinTV does not collect or store your full payment card information; all sensitive payment details are provided directly to Stripe and handled under Stripe’s privacy and security policies .

Payment Authorization: By starting a subscription, you authorize PaladinTV (through Stripe) to charge your provided payment method for the subscription fee and any applicable taxes on a recurring basis (e.g., monthly or annually, depending on your plan). If any payment is not successfully settled, or if your account becomes past due, PaladinTV reserves the right to suspend access until payment is received. You are responsible for any fees or charges Stripe may apply for payment processing.

No Refunds; Changes: All fees paid are generally non-refundable, except where required by law or expressly stated otherwise. PaladinTV does not guarantee refunds or credits for partial subscription periods or unused services. We reserve the right to change our subscription offerings or fees; however, any price changes will be communicated to you and, for existing subscriptions, will apply only to subsequent billing cycles. If you do not agree to a fee change, you may cancel your subscription before the new rate takes effect.

Taxes: Subscription fees do not include any applicable sales, use, value-added, or other taxes. If any such taxes apply, they will be added to your charges as required. You are responsible for paying any taxes or government fees imposed on your subscription.

4. Intellectual Property

PaladinTV’s Intellectual Property: The PaladinTV platform (including our website, branding, logo, software, and all content on our site) is owned by PaladinTV or our licensors and is protected by United States and international intellectual property laws . PaladinTV retains all rights, title, and interest in and to its services and content. Subject to your compliance with these Terms, PaladinTV grants you a limited license to make personal, non-commercial use of our platform and materials. You do not acquire any ownership rights by using the service or by accessing any material on our site. You may not use PaladinTV’s name, logos, or other trademarks without our prior written consent.

Third-Party Content: Any content made available to you through PaladinTV’s service (for example, television programming, videos, music, or other media from third-party providers) remains the property of the third-party content owners or licensors. Those third parties retain all applicable intellectual property rights in their content. Your subscription grants you a personal, non-exclusive right to access and view such content for lawful personal use, as facilitated by PaladinTV, but no ownership or proprietary rights are transferred to you. You must not copy, reproduce, distribute, publicly perform, create derivative works from, or otherwise exploit any third-party content except as allowed by the content owner or by law. If you infringe copyright or other rights in content accessed through PaladinTV, your access may be terminated and you may incur legal liability.

Feedback: If you send us any suggestions, feedback, or ideas regarding PaladinTV (“Feedback”), you agree that PaladinTV can use, disclose, and implement such Feedback without restriction or compensation to you. Any Feedback you provide is entirely voluntary and will not be treated as confidential.

5. User Content

PaladinTV’s service is not primarily a content-sharing platform, but we may offer features that allow you to submit content (for example, posting a comment, profile information, or other materials) or to communicate with us (such as customer support inquiries or feedback). “User Content” refers to any content that you submit, post, upload, or otherwise provide to PaladinTV through our services.

By providing any User Content, you agree to the following terms:

• You Retain Ownership: You retain all ownership rights that you have in your User Content. PaladinTV does not claim ownership over your content.

• License to PaladinTV: You hereby grant PaladinTV a worldwide, royalty-free, sublicensable, license to use, host, copy, transmit, display, modify (for technical purposes, e.g. formatting), distribute, and create derivative works of your User Content solely for the purpose of operating, improving, or promoting our services (for example, showcasing a testimonial you provided) . This license continues even if you stop using PaladinTV, but will not apply to content you have deleted or removed from the service (subject to routine backups or legal requirements).

• Your Responsibilities: You are solely responsible for any User Content you provide. You represent and warrant that you have all necessary rights to submit the content and to grant the license above, and that your User Content does not infringe or violate the rights of any third party (including intellectual property, privacy, and publicity rights) . User Content must also not be unlawful, offensive, defamatory, or otherwise contrary to law or these Terms.

• Moderation and Removal: PaladinTV is not obligated to monitor User Content, but we reserve the right to review, screen, or delete any User Content at any time at our discretion (for example, if we believe it violates these Terms or the law). PaladinTV may also terminate or suspend your account if you repeatedly post prohibited content.

Any User Content you submit will be treated in accordance with our Privacy Policy. PaladinTV is not responsible for the accuracy, completeness, or legality of User Content provided by you or other users.

6. Third-Party Services and Content

As noted, PaladinTV enables access to services and content provided by third parties. Third-Party Services (and any Third-Party Content accessible through them) are not under PaladinTV’s control, and PaladinTV disclaims any responsibility or liability for third-party offerings . This means, for example:

• No PaladinTV Control: PaladinTV does not control or guarantee the availability, quality, accuracy, integrity, legality, or safety of any content or services provided by third parties. We do not endorse or make any warranties about third-party sites or services you access via our platform .

• Third-Party Terms: Your use of any third-party service is subject to that third party’s own terms of use and privacy policy. You are solely responsible for complying with the terms of service of the third-party providers whose services you access through PaladinTV . For instance, if a third-party service requires you to be in a certain region or prohibits certain usage, it is your duty to follow those requirements. PaladinTV is not a party to your agreement with any third-party provider.

• Dealings with Third Parties: Any dealings, transactions, or communications between you and a third-party provider are strictly between you and that third party. PaladinTV is not responsible for any issues or disputes arising from such dealings . If you have questions or complaints about the content or service provided by a third party, you should contact that third party directly.

• Content Legality and Ratings: Some third-party content may not be legal to access or view in certain jurisdictions, or it may contain material that you find objectionable (for example, it could be misleading, offensive, indecent, or otherwise inappropriate) . You are responsible for ensuring that accessing such content is lawful in your location. PaladinTV assumes no liability for any content that might be deemed objectionable or illegal in your jurisdiction .

• Uptime and Changes: PaladinTV does not guarantee that any particular third-party content or channel will be available at any given time. Third-party providers may change programming, schedules, or availability at their discretion. As noted, if a third-party service or content becomes unavailable or is modified, PaladinTV may not be able to continue providing access. PaladinTV will not be liable for any loss or damage arising from a third-party service becoming temporarily or permanently unavailable, nor are we obligated to provide any refund in such cases .

• No Warranty for Third-Party Content: Any third-party content accessible via PaladinTV is provided “as is” without any warranty. PaladinTV disclaims all obligations to monitor or verify third-party content, and we assume no responsibility to modify or filter any third-party material . You acknowledge that use of third-party content is at your discretion and risk.

In summary, PaladinTV shall not be liable for the nature of third-party services or content, and your sole remedy for dissatisfaction with third-party offerings is to stop using them or to address the issue with the third-party provider.

7. Disclaimer of Warranties

PaladinTV provides its services on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, PaladinTV disclaims all warranties and representations, express or implied, regarding the service and any content or access provided. This includes, without limitation: any implied warranties of title, non-infringement, accuracy, merchantability, or fitness for a particular purpose . We do not warrant that the PaladinTV platform (or any third-party service accessible through it) will be uninterrupted, error-free, secure, or free of viruses or other harmful components. No information or advice obtained by you from PaladinTV or through our customer support shall create any warranty not expressly stated in these Terms.

Specifically, PaladinTV makes no warranty or guarantee that: (a) the service will meet your requirements or expectations; (b) access to third-party media services will be continuous, timely, reliable, or without failures; (c) the information or content provided (whether by PaladinTV or through third-party services) will be accurate, complete, or current; or (d) any defects in the PaladinTV service will be corrected. All information and services provided by PaladinTV are subject to change without notice. PaladinTV disclaims liability for the acts or omissions of any third party in connection with or related to your use of the service . You assume total responsibility for your use of PaladinTV and any linked third-party services .

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you. In such cases, any warranties required by law are limited in duration to 30 days from the first use of the service or the minimum period permitted.

8. Limitation of Liability

To the maximum extent permitted by law, PaladinTV (including our officers, directors, employees, agents, partners, and affiliates) will not be liable to you for any indirect, incidental, consequential, special, exemplary, or punitive damages whatsoever . This limitation of liability applies to all claims, whether based on warranty, contract, tort, or any other legal theory, and whether or not PaladinTV has been informed of the possibility of such damage. It means that PaladinTV is not responsible for losses such as (by way of example only) lost profits or revenues, lost business opportunities, loss of data, or personal injury or property damage arising out of or related to your use of our service. In addition, PaladinTV will not be liable for any damages or losses arising from your use of or reliance on any third-party services or content accessed through our platform . This includes any claim related to the availability, accuracy, legality, or quality of third-party content, or any transaction between you and a third-party provider.

To the extent that PaladinTV is found liable for any claim or demand arising out of your use of the service (or the inability to use the service), our aggregate liability to you shall not exceed the amount you have paid PaladinTV in subscription fees in the six (6) months immediately preceding the event giving rise to the liability, or US $100.00, whichever is greater . If you have not paid any amount (for example, if you are using a free trial), PaladinTV’s liability will be limited to US $100.

These limitations form an essential basis of the bargain between you and PaladinTV, and will apply even if any remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, PaladinTV’s liability will be limited to the fullest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless PaladinTV and its parent, affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) that arise out of or relate to: (a) your use or misuse of the PaladinTV service; (b) your violation of these Terms or of any law or regulation; or (c) your infringement of any intellectual property or other rights of any third party (including any misuse of third-party content accessed through PaladinTV). This means you will reimburse PaladinTV for any losses or costs it incurs due to your actions. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense strategy at your expense. You agree not to settle any such matter without PaladinTV’s prior written consent.

This indemnification obligation will survive the termination or expiration of your agreement with PaladinTV and your use of the service.

10. Termination and Suspension

By PaladinTV: PaladinTV reserves the right, in its sole discretion, to suspend or terminate your account or access to the service at any time if we believe you have violated these Terms or engaged in any improper or illegal use of the service . Such termination may occur immediately and without notice. In particular (and without limitation), we may suspend/terminate your access for: (1) breach of these Terms or any other policies applicable to PaladinTV; (2) engaging in fraudulent, abusive, or unlawful activities, including infringement of third-party rights or content piracy ; or (3) actions that harm or potentially harm our platform, reputation, or users.

PaladinTV may also terminate or restrict your access without fault on your part for operational reasons, including but not limited to: (a) requests by law enforcement or government authorities ; (b) your own request (for example, if you choose to delete your account) ; (c) discontinuance or material modification of PaladinTV’s services or offerings (e.g., we cease operations or stop supporting access to certain third-party services) ; or (d) unexpected technical or security issues or downtime . We will endeavor to give advance notice if reasonably practicable (for instance, in case of a planned service discontinuation), but we are not obligated to do so in every case.

By You: You are free to stop using PaladinTV or cancel your subscription at any time. You may terminate your own account by following the account cancellation procedures on our website or by contacting customer support. Termination of your subscription will be effective at the end of your current paid term unless otherwise stated.

Effect of Termination: Upon any termination of your account or access, your rights to use the PaladinTV service will immediately cease . We may, in our discretion, fulfill or cancel any pending subscriptions or orders as of the termination date. If your account is terminated due to a violation of these Terms or law, you will not be entitled to any refunds for subscriptions already paid. The following provisions of these Terms will survive termination: Intellectual Property, User Content (to the extent of the licenses granted to PaladinTV), Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, Changes to Terms, and any other provision which by its nature should survive. Termination shall not affect any rights or remedies which have accrued prior to termination.

PaladinTV shall not be liable to you or any third party for termination of your access in accordance with these Terms** .** If your account is terminated and you believe it was in error, you may contact us to request reinstatement, but PaladinTV is under no obligation to reactivate a terminated account.

11. Governing Law and Jurisdiction

These Terms of Service and any dispute arising out of or relating to the PaladinTV service will be governed by and construed in accordance with the laws of the United States and the laws of the State of Delaware, without regard to its conflict of laws principles . By using the PaladinTV service, you expressly agree that any legal claim or proceeding between you and PaladinTV shall be brought exclusively in the state or federal courts located in the State of Delaware, USA . You consent to the personal jurisdiction of such courts and waive any objection on grounds of venue or inconvenient forum, to the extent permitted by law.

If you are accessing the service from outside the United States, be aware that you are voluntarily subjecting yourself to the jurisdiction of Delaware, USA for any disputes. (Consumers in certain jurisdictions, such as in the European Union, may have the right to bring claims in their local courts under applicable consumer protection laws; nothing in these Terms is meant to override any such right that cannot lawfully be waived.)

Any claim or cause of action by you arising in connection with the PaladinTV service must be commenced within one (1) year after the event giving rise to the claim, or else it is permanently barred, to the extent permitted by law.

12. Changes to Terms

PaladinTV may modify or update these Terms of Service from time to time in its discretion. If we make material changes, we will notify you by (for example) posting the updated Terms on our website and updating the “Effective Date” at the top, and/or by sending a notice via email or within the service . You are responsible for reviewing any updated Terms. Changes will become effective immediately upon posting unless otherwise specified.

By continuing to use the PaladinTV service after revised Terms have been posted, you signify your acceptance of the updated Terms . If you do not agree to a change, you must stop using the service and cancel any subscriptions. We encourage you to check this page periodically to stay informed of any updates.

13. Miscellaneous

Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.

No Waiver: PaladinTV’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of PaladinTV.

Assignment: You may not assign or transfer these Terms (or any rights or obligations herein) without PaladinTV’s prior written consent. PaladinTV may freely assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets, or by operation of law. These Terms are binding upon and will inure to the benefit of the parties and their respective permitted successors and assigns.

Entire Agreement: These Terms (along with any other policies or guidelines referenced herein, such as our Privacy Policy) constitute the entire agreement between you and PaladinTV regarding your use of the service, and supersede all prior or contemporaneous understandings. No oral or written information or advice given by PaladinTV or its representatives shall create any additional obligations not included in these Terms.

Headings: Section headings in these Terms are for convenience only and have no legal or contractual effect.
